1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Star Leather Goods, a primary brand of Star Leather Industries (“Company,” “we,” “us,” or “our”), concerning your access to and use of the B2B wholesale platform.
You agree that by accessing the site, you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the site and purchasing wholesale materials.
2. Order Architecture & Finality
The transition from inquiry to execution is governed by a strict validation sequence. A Pro Forma Invoice or Quote represents a preliminary assessment of material and labor costs and does not constitute a commitment to manufacture.
A Binding Order is only recognized upon the dual satisfaction of a signed Production Specification Sheet and the verification of the requisite financial instrument. Once the "Binding" status is achieved, the production slot is locked within our manufacturing grid.
3. Valuation & Raw Material Volatility
Wholesale Pricing
Our pricing reflects the intersection of artisanal labor and global commodity markets. Due to the inherent sensitivity of the LWG-Certified hide markets and premium chemical additives, all price points are fixed for a duration of 14 calendar days.
Minimum Order Quantities (MOQ)
To maintain the integrity of our tanning drums and precision cutting sequences, we enforce strict MOQs per SKU. Small-batch exceptions for Runway or Capsule Collections are subject to a "Master Artisan Surcharge" to compensate for the disruption of high-scale industrial flow.
4. Capital Transfer Protocols
Financial compliance ensures the continuity of the supply chain. We utilize secure, high-tier banking channels to facilitate global commerce.
Our standard protocol requires a 50% mobilization deposit, with the residual 50% cleared prior to the Ex-Factory release.
We accept Irrevocable, At-Sight LCs confirmed by Tier-1 institutions to ensure absolute transparency for large-scale institutional orders.
This facility is granted at our sole discretion to partners with a verified five-year transactional heritage.
5. Production Windows & Force Majeure
Manufacturing Lead Times
Standard production cycles are estimated at 8–12 weeks. This timeline begins only after the final "Golden Sample" is physically approved and the procurement of specific hardware or exotic skins is finalized.
Contingency & Force Majeure
Performance under this contract is subject to the stability of the industrial environment. Star Leather Goods is not liable for delays caused by Force Majeure, including energy grid rationing, livestock epidemic-induced hide shortages, or international maritime bottlenecks.
6. IP & Structural Proprietary Rights
Technical Sovereignty
While clients retain rights to their brand marks, the Internal Architecture of the product—including proprietary reinforcement techniques, bespoke edge-dyeing formulas, and hidden structural folds—remains the intellectual property of Star Leather Goods.
Non-Disclosure & White-Label Integrity
We operate with absolute discretion. All manufacturing techniques utilized in the fulfillment of Private Label contracts are protected by a mutual non-disclosure protocol, ensuring that our "Heritage of Precision" remains your brand’s silent advantage.
7. Quality Assurance & Tolerance Thresholds
Artisanal Variance
Leather is a biological substrate. Minor variations in grain, texture, or pore distribution are not defects but markers of Material Authenticity. We operate within a strict AQL (Acceptable Quality Limit) framework; however, slight deviations inherent to organic hides are expected and accepted upon order placement.
Inspection Protocols
Clients or third-party auditors are permitted a 72-hour window post-delivery to report structural discrepancies. Beyond this period, the shipment is deemed "Accepted in Full," transitioning the liability of care from the manufacturer to the client.
8. Logistics & Risk Transition
Incoterms
All shipments are executed under EXW (Ex Works) or FOB (Free on Board) terms unless a bespoke logistics architecture is negotiated. Title of goods and the "Risk of Loss" transfer to the buyer the moment the consignment leaves our loading bay.
Insurance Mandates
It is the buyer's obligation to secure comprehensive transit insurance. Star Leather Goods maintains no liability for damages incurred during maritime, aerial, or terrestrial transit once the carrier has acknowledged receipt.
9. Cancellation & Material Reclamation
Non-Refundable Mobilization
The initial deposit is utilized for the immediate procurement of Premium Raw Material. Consequently, deposits are non-refundable. Should an order be canceled mid-cycle, the client remains liable for all costs incurred up to the point of cessation, including specialized hardware and tanning labor.
Abandoned Goods
Consignments not cleared for dispatch within 30 days of the "Ready for Shipment" notice will incur daily warehousing fees. After 90 days, the goods are considered abandoned and may be liquidated to recover manufacturing costs.
10. Jurisdictional Governance
Legal Seat
These terms are governed by the laws of the jurisdiction in which the Star Leather Goods parent entity is registered. Any disputes that cannot be resolved through executive mediation shall be settled via binding arbitration in the registered city of operation, specifically Karachi.
11. Compliance & Ethical Sourcing
Material Integrity
All hides are sourced through LWG-Certified tanneries or verified sustainable networks. We adhere to the REACH Regulation standards for chemical usage, ensuring that no prohibited substances are utilized in the tanning or finishing protocols.
Labor Standards
Star Leather Goods operates under a strict code of social responsibility. Our facilities are compliant with international labor laws, ensuring that every "Construct" is manufactured within an environment of safety, dignity, and fair compensation.
12. Custom Hardware & Mold Indemnity
Tooling & Molds
Client-specific hardware, molds, or branding stamps produced by our facility remain the property of the client but will be archived in our Vault for future production. We maintain these tools for a period of 24 months of inactivity before decommissioning.
Third-Party Infringement
The client warrants that all designs, logos, and technical drawings provided to us do not infringe upon the Intellectual Property of any third party. The client agrees to indemnify Star Leather Goods against any legal repercussions arising from the use of provided assets.
13. Claims & Returns Protocol
Discrepancy Margin
Due to the manual nature of premium leatherwork, a +/- 3% variance in final quantity and dimensional specifications is considered within the industry standard and does not constitute a breach of contract.
Remediation
In the rare event of a confirmed manufacturing defect, our liability is strictly limited to the Repair or Replacement of the specific unit. We do not provide monetary refunds or cover the costs of third-party retail logistics or brand-side administrative fees.
14. Data Sovereignty & Confidentiality
Digital Assets
All technical tech-packs, CAD drawings, and high-fidelity renders shared during the R&D phase are treated as Classified Information. Our internal servers utilize encrypted protocols to ensure your brand’s future collections remain shielded from industrial espionage.
15. The Doctrine of Severability
If any specific provision within these Terms is deemed unenforceable by a court of competent jurisdiction, that clause shall be isolated. The remaining framework of the Master Service Agreement shall retain its full legal force and industrial authority.
16. Absolute Modification Rights
Star Leather Goods reserves the unilateral right to refine these Protocols to align with shifting global trade regulations or leather commodity indices. Continued engagement with our manufacturing grid following such updates constitutes an implicit acceptance of the revised terms.
17. Supremacy of Protocol
This document serves as the Primary Governance Framework for all interactions with Star Leather Goods. In the event of a conflict between these Terms and a client’s internal Purchase Order (PO) or secondary agreement, the provisions outlined herein shall take absolute precedence unless a bespoke Master Supply Agreement has been executed and signed by our Executive Board.
